Effective date: October 15, 2026
These Terms govern self-serve access to the Xzar service through an API key, plug-in, or related account. They are an agreement between you and 369 Mint LLC, a Wyoming limited liability company offering the service under the name Xzar ("Xzar," "we," "us," or "our"), at 309 Coffeen Avenue, Suite 1200, Sheridan, Wyoming 82801.
If you accept these Terms for an organization, you represent that you are authorized to bind that organization. A separate signed agreement, including an Evaluation Pilot Agreement, takes precedence over these Terms to the extent of a conflict concerning the services covered by that agreement.
Xzar is an AI evaluation and testing service. Depending on the service and plan, you may run evaluation tasks against an AI system and receive scores, results, reports, or related evaluation records.
Evaluation tasks, materials, methods, and scoring criteria may vary over time and by plan. Results reflect performance under the particular tasks, methods, and conditions used and do not guarantee performance in other circumstances.
"Task Content" means non-public tasks, instructions, reference materials, answer keys, scoring criteria, grading logic, and other evaluation materials made available through the service, to the extent Xzar owns them or has rights to protect or restrict their use.
"Submissions" means the inputs, AI-generated responses, tool calls, and other materials you or your AI system send to the service.
"Results" means the scores, receipts, reports, and other evaluation outputs provided to you.
You must be at least 18 and legally capable of entering into a contract. You must provide accurate registration information and keep it reasonably current.
Keep your API keys confidential. You are responsible for use of your account and keys by you and by people you authorize to access them. Notify us promptly if you believe a key has been exposed or misused. We may revoke or replace compromised keys.
Only one free starter credit is available per person or organization. Creating or using additional accounts to obtain extra free credit is prohibited.
The service uses prepaid credits. The price and number of credits included in a purchase will be shown before you complete that purchase. Each successfully started evaluation task consumes one task credit, unless the checkout page or a separate written agreement states otherwise.
If an evaluation task fails to start because of a failure attributable to Xzar, we will return the credit for that task to your account. This does not require a credit for a task that started successfully but produced an unexpected answer, score, or result, or failed because of your system, inputs, configuration, or a third-party system outside our control.
Credits are non-refundable, have no cash value, and may not be transferred, except where applicable law requires otherwise or we expressly agree in writing. Unused credits expire 12 months after purchase. Account closure or suspension does not extend the expiry date, except where required by law or where we agree otherwise in writing.
Payments are processed by our payment processor. Your card statement may display a descriptor beginning with "XZAR." Applicable taxes may be added where required.
Self-serve accounts may run up to 100 tasks per month and access only the self-serve task pool. We may apply reasonable technical limits to protect the service. Pilot and other licensed access is subject to a separate written agreement.
You may use the service and Task Content only as permitted by these Terms and any applicable written agreement. Unless Xzar gives prior written permission, you must not, and must not authorize, assist, or knowingly allow another person to:
You may use and disclose your own Results as permitted by Section 5. These restrictions do not give Xzar ownership of material owned by you or a third party, and do not restrict rights that cannot lawfully be restricted by contract.
Task Content may contain markers that identify the account to which it was provided. You must not remove, obscure, or alter those markers.
You are responsible for ensuring that your employees, agents, contractors, and other persons accessing the service through your account comply with these Terms. You remain responsible for their use of the service.
Your materials. As between you and Xzar, you retain whatever rights you have in your AI systems, inputs, Submissions, and other materials you provide. You are responsible for ensuring that you have the rights and permissions needed to submit them and authorize the processing described in these Terms.
Operational license. You grant Xzar a non-exclusive license to host, process, reproduce, transmit, and use Submissions as reasonably necessary to provide, maintain, secure, troubleshoot, and support the service, subject to these Terms and any applicable written agreement.
No default model training. Xzar will not use your Submissions to train or fine-tune AI models unless you separately agree in writing or the use is otherwise lawfully permitted and appropriately disclosed.
Your Results. You may use Results for lawful purposes. If you publish or publicly describe Results, you must present them accurately, provide context reasonably necessary to understand the evaluation (such as the task set, evaluation conditions, and date where relevant), and not imply that Xzar endorses your AI system or product.
Service operation and improvement. Xzar may process service records and evaluation data to operate, maintain, secure, troubleshoot, and assess the reliability of the service. Xzar may use aggregated or de-identified statistics for analysis or publication where reasonable measures are taken to reduce the risk of identifying you, your organization, or your AI system.
Xzar will not publish your name, your organization's name, or information identifying your AI system alongside Results without your consent, unless otherwise agreed in writing or lawfully required.
Do not submit personal information, sensitive personal information, confidential third-party material, or regulated data unless you have confirmed that the submission is appropriate and authorized. You are responsible for your submissions and for complying with applicable law.
As between you and Xzar, Xzar retains the rights it owns in the service and its original materials, including original task designs, answer keys, scoring logic, software, and other proprietary components.
The service may include or refer to material owned by third parties or made available under separate permissions. Xzar does not claim ownership of such material merely because it is included in or used by the service.
Subject to these Terms and any applicable written agreement, Xzar grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service and the materials made available to you for their intended purpose. No other rights in Xzar-owned materials are granted.
You may stop using the service and close your account at any time.
We may suspend or terminate access if we reasonably believe you have breached these Terms, your use threatens the security or integrity of the service, payment is overdue, or suspension is required by law. Where reasonably practicable, we will provide notice and an opportunity to address the issue. We may suspend access immediately where necessary to protect Task Content, the service, customers, or third parties.
On termination, your right to access the service ends. You must stop using and, where reasonably practicable, delete or return non-public Task Content in your possession, except for records you are legally required to retain.
Sections 3 (to the extent of amounts owed, expiry, and non-refundability), 4, 5, 6, 8, 9, and 11 survive termination to the extent their purpose requires.
Evaluation Results reflect performance under the particular tasks, methods, and conditions used. They are not a guarantee of performance, safety, reliability, legality, or suitability in other settings. The service does not provide legal, financial, or other professional advice.
To the extent permitted by law, the service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in these Terms excludes a warranty or remedy that cannot lawfully be excluded.
To the extent permitted by law, Xzar will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business opportunities, goodwill, or data, arising out of or relating to the service or these Terms.
To the extent permitted by law, Xzar's total aggregate liability for all claims relating to the service or these Terms will not exceed the greater of (a) the amounts you paid to Xzar for the service in the 12 months before the event giving rise to the claim, or (b) US$100.
These limitations apply regardless of the legal theory asserted and even if a remedy fails of its essential purpose. They do not apply to the extent prohibited by applicable law.
We may modify the service and these Terms. For material changes to the Terms, we will provide at least 14 days' notice by email or through the service, unless a shorter period is required to address legal, security, or urgent operational needs.
Changes will apply from the stated effective date. If you do not agree to a material change, you must stop using the service before it takes effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.
Governing law and venue. Wyoming law governs these Terms, without regard to conflict-of-law rules. Subject to any mandatory law, the state and federal courts located in Laramie County, Wyoming will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the service. Each party submits to that jurisdiction.
Entire agreement and order of precedence. These Terms, the Privacy Notice, and the terms displayed for any purchase form the agreement governing self-serve use. A separate signed agreement controls where it expressly conflicts with these Terms for the services covered by that agreement.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, reorganization, or sale of all or substantially all of our business or relevant assets.
Severability. If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will remain in effect.
No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
Contact. Questions about these Terms may be sent to hello@xzar.si. 369 Mint LLC, offering the service under the name Xzar, 309 Coffeen Avenue, Suite 1200, Sheridan, Wyoming 82801, USA.
